Terms of Service

Please read these terms carefully before using Corevo or any Sarvify service. By using our services, you agree to be bound by these terms.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the company you represent) and Sarvify ("Sarvify", "we", "us"). By accessing or using Corevo ERP software or any Sarvify service, you confirm that you have read, understood, and agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, do not use our services.

Description of Services

Sarvify provides the following services under the Corevo brand:

  • Corevo ERP software license - a curated distribution of Odoo Community Edition with manufacturing-first configurations, Indian compliance modules, and Sarvify-developed extensions
  • Implementation services - consulting, configuration, data migration, and training
  • Managed hosting - cloud infrastructure, monitoring, backups, and technical support for Corevo instances
  • Annual support contracts - bug fixes, functional guidance, system configuration, and access to software updates
  • Documentation, tutorials, and self-help resources at corevo.in

Specific services, deliverables, and pricing are defined in a separate Statement of Work or Order Form signed between the parties. These Terms apply to all such services.

Software License

Corevo License

Subject to payment of applicable fees and compliance with these Terms, Sarvify grants you a non-exclusive, non-transferable license to use the Corevo software for your internal business operations.

Lifetime License

A Lifetime License grants you a perpetual right to use the specific version of Corevo at the time of purchase. This includes full source code access. You may continue using the software indefinitely without additional license fees, though support and future updates require a separate annual support contract.

Annual Subscription

An Annual Subscription grants the right to use Corevo for the subscription period. The subscription must be renewed annually to continue using the software legally. Subscriptions include access to software updates and standard support.

Open Source Components

Corevo is built on Odoo Community Edition, licensed under LGPL-3.0. Your rights to the Odoo CE codebase are governed by that license. Sarvify-developed extensions and configurations are licensed separately under these Terms.

  • You may not resell or sublicense Corevo without written consent from Sarvify
  • You may not remove or alter Sarvify branding or attribution notices
  • You may modify the software for your internal use — your modifications are yours
  • Company-wide licensing covers all users within the licensed legal entity

Accounts & Access

  • You are responsible for maintaining the confidentiality of your Corevo administrator credentials
  • You are responsible for all actions taken under your account or instance
  • You must notify Sarvify immediately of any unauthorized access or security breach
  • Sarvify support team members may access your instance for support purposes — only with your consent, except in cases of security incidents
  • You must ensure all users of your Corevo instance comply with these Terms and applicable law

Payment Terms

Invoicing

Sarvify invoices are issued in Indian Rupees (INR) and are subject to applicable GST. Payment terms are net 15 days from invoice date unless specified otherwise in the Order Form.

Late Payment

Late payments may incur interest at 1.5% per month on the outstanding balance. Sarvify reserves the right to suspend services for accounts overdue by more than 30 days.

Refunds

Refund eligibility is governed by our Refund Policy. Implementation services are non-refundable once work has commenced. Unused subscription periods are refunded on a pro-rata basis at Sarvify's discretion.

Acceptable Use

You agree not to use Corevo or any Sarvify service to:

  • Violate any applicable Indian law or regulation
  • Store, transmit, or process data that is illegal, defamatory, or infringes third-party rights
  • Attempt to gain unauthorized access to Sarvify systems or other customers' instances
  • Conduct or facilitate any form of phishing, fraud, or money laundering
  • Reverse engineer the Sarvify-proprietary portions of Corevo (open-source components remain under their respective licenses)
  • Use the software in a way that disproportionately loads or disrupts Sarvify's infrastructure
  • Resell access to your Corevo instance to third parties without Sarvify's written consent

Intellectual Property

Sarvify retains all intellectual property rights in the Corevo brand, proprietary extensions, documentation, and marketing materials. The Odoo Community codebase is owned by Odoo S.A. and its contributors, and is licensed under LGPL-3.0.

Your business data stored within Corevo remains your property at all times. Sarvify does not claim any rights over your operational, financial, or customer data.

Data & Privacy

Your use of Corevo is also governed by our Privacy Policy, which is incorporated into these Terms by reference. For managed hosting customers, a separate Data Processing Agreement (DPA) governs the processing of your business data.

Service Level & Uptime

Managed Hosting SLA

For customers on Sarvify Managed Hosting, we commit to 99.5% monthly uptime, measured as the percentage of minutes in a calendar month that your Corevo instance is accessible. Planned maintenance windows (communicated 48 hours in advance) are excluded from uptime calculations.

Support Response Times

  • Critical (system down): 4-hour response, 24-hour resolution target
  • High (major functionality impaired): 8-hour response, 48-hour resolution target
  • Medium (feature issues): 24-hour response, 5 business day resolution target
  • Low (general queries): 2 business day response

Client-Hosted Instances

No uptime SLA applies to client-hosted instances. Sarvify provides remote support but is not responsible for infrastructure uptime.

Limitation of Liability

To the maximum extent permitted by applicable law, Sarvify's total liability to you for any claims arising from or related to these Terms or the use of Corevo shall not exceed the total fees paid by you to Sarvify in the twelve (12) months preceding the claim.

Sarvify shall not be liable for: indirect, incidental, or consequential damages; loss of profits or revenue; loss of data (beyond what is recoverable from our backup systems); business interruption; or any special or exemplary damages, even if advised of the possibility of such damages.

These limitations do not apply to liability arising from gross negligence, wilful misconduct, or fraud by Sarvify.

Termination

By you

You may terminate your Sarvify services by providing 30 days written notice. For Lifetime License holders, termination applies only to managed services or support contracts — the software license is perpetual.

By Sarvify

Sarvify may terminate or suspend services immediately if you breach these Terms, fail to pay invoices, or use the services in a way that causes harm to Sarvify or other customers.

Effect of termination

  • You will be provided a data export of your Corevo database in standard PostgreSQL format
  • Managed hosting access will be revoked after the termination date
  • For Lifetime License holders, the software license remains valid after service termination
  • All outstanding invoices become immediately due and payable

Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India. Both parties agree to attempt good-faith resolution before initiating legal proceedings.

Changes to Terms

Sarvify reserves the right to update these Terms. Material changes will be notified to customers via email at least 30 days before taking effect. Your continued use of Corevo after the effective date constitutes acceptance of the revised Terms.
